Smarter Energy Successfully Raises Funds of RMB 1.2 Billion through Private Placement

Based on the reports by www.stcn.com on July 11, Smarter Energy (600869) released an evening announcement on July 11, stating that the company submitted the relevant registration material on the issued new shares to Shanghai Branch of China Securities Depository and Clearing Corporation Limited on July 7, 2016. It received “Certificate of Securities Change Registration” issued by Shanghai Branch of China Securities Depository and Clearing Corporation Limited on July 8, 2016 that confirms the number of the new shares is 136 million, including 136-million tradable shares with limited sale conditions. As of June 29, 2016, six objects of issuance had remitted the subscribed amount of RMB 1.2 billion into the bank account designated by CICC.

According to the Announcement, the non-public issuance realized 136-million new shares, which listed on Shanghai Stock Exchange on July 7, 2016. In the issuance, the lock-in period of the stock subscribed by the six objects of the issuance is 12 months from the listing date of the new shares. In accordance with the requirements for the relevant rules at Shanghai Stock Exchange, the company did not use ex-rights for the stock price on July 7, 2016 (the listing date). The price of the non-public issuance is RMB 8.80 per share.
